MEDLY AI LTD - TEACHER DASHBOARD AGREEMENT
SUMMARY
This Agreement sets out the obligations that apply to you as a verified teacher using the Medly Teacher Dashboard. It covers how you must handle student personal data, what information you will and will not see, your responsibilities when marking and publishing grades, and when your access can be suspended or withdrawn. It supplements (and does not replace) the Medly Terms of Use and Privacy Policy, which also apply to you. Please read it carefully before signing.
PARTIES
This Agreement is made between MEDLY AI LIMITED, a company incorporated in England and Wales under company number 15110302, whose registered office is at 85 Great Portland Street, London, England, W1W 7LT (the "Company"), and the individual whose name and electronic signature are recorded by the Company at sign-up (the "Teacher", and together with the Company the "Parties").
The Company operates an AI-powered tutoring platform known as "Medly" (the "Platform") for students preparing for GCSE, A-Level, IB, and other UK public examinations, and makes available to verified UK teachers a free teacher-facing interface (the "Teacher Dashboard"). The Teacher has been verified by the Company as eligible to access the Teacher Dashboard and agrees the terms set out below as a condition of that access. IT IS AGREED as follows:
1. SCOPE AND RELATIONSHIP WITH OTHER TERMS
- 1.1. This Agreement governs the Teacher's access to and use of the Teacher Dashboard. It supplements, and does not replace, the Company's Terms of Use and Privacy Policy, both of which apply to the Teacher's use of the Platform.
- 1.2. The current versions of the Terms of Use and Privacy Policy are available at https://www.medlyai.com/uk/terms and https://www.medlyai.com/uk/privacy respectively.
- 1.3. In the event of any inconsistency between this Agreement and the Terms of Use, this Agreement shall prevail in respect of the Teacher-specific obligations set out below, and the Terms of Use shall prevail in respect of all other matters.
2. ELIGIBILITY AND ACCOUNT INTEGRITY
- 2.1. The Teacher represents, warrants and undertakes that, on the date of this Agreement and throughout the period of their access to the Teacher Dashboard:
- (a) they are either (i) a qualified teacher holding Qualified Teacher Status (QTS), a Postgraduate Certificate in Education (PGCE), or an equivalent teaching qualification recognised in the United Kingdom; or (ii) a trainee teacher undertaking a supervised placement in a UK educational institution;
- (b) all information and credentials provided by the Teacher during the application and verification process (including name, teaching role, school, and supporting qualification or placement documentation) are true, accurate and complete; and
- (c) the Teacher will notify the Company at schools@medlyai.com without undue delay if they cease to hold the status set out in clause 2.1(a) or if any of the information referred to in clause 2.1(b) becomes inaccurate.
- 2.2. The Teacher's account is personal and non-transferable. The Teacher shall not disclose or share their login credentials with, or permit their use by, any third party (including any colleague, assistant, or family member), and shall take reasonable steps to keep those credentials secure.
- 2.3. The Company may, in its sole discretion and without liability to the Teacher, suspend or terminate the Teacher's access to the Teacher Dashboard with immediate effect if (a) any credentials or information provided by the Teacher are invalid, inaccurate, or have not been kept up to date; (b) the Teacher is no longer in a teaching role; or (c) the Teacher is in breach of this Agreement.
3. STUDENT DATA RESPONSIBILITIES
- 3.1. The Teacher acknowledges that, through the Teacher Dashboard, they will be given access to personal data relating to children and young people, and shall treat such data with the corresponding degree of care.
- 3.2. The Teacher shall:
- (a) access student personal data only for legitimate educational purposes directly related to the Teacher's teaching role in respect of the relevant student;
- (b) access data only in respect of students who have been allocated to classes assigned to the Teacher, and acknowledge that, while the Platform enforces this limitation technically, the Teacher is independently responsible for complying with this obligation;
- (c) not share, export, download, copy, photograph, screenshot, transcribe, or otherwise disclose or reproduce student personal data outside the Platform, save where, and to the extent that, such disclosure is (i) required by law, regulation, or order of a competent court or regulatory authority; or (ii) required by the written data protection or safeguarding policies of the educational institution at which the Teacher is employed or placed;
- (d) comply at all times with the UK General Data Protection Regulation, the Data Protection Act 2018, and any other applicable data protection legislation as amended, superseded, or replaced from time to time (together, the "Data Protection Legislation") when handling any such data;
- (e) comply with any data protection, acceptable use, safeguarding, and IT policies of the educational institution at which the Teacher is employed or placed; and
- (f) notify the Company at schools@medlyai.com without undue delay upon becoming aware of any actual, suspected, or threatened loss, unauthorised disclosure, or unauthorised access to student personal data.
- 3.3. The Teacher acknowledges and agrees that students must provide their consent to join a class created or administered by the Teacher, and that each student may withdraw that consent and leave the class at any time. The Teacher shall not pressure, incentivise, or otherwise seek to influence any student's decision to give or withdraw such consent.
- 3.4. The Teacher acknowledges and agrees that conversational data between students and the Company's AI tutor (including chat histories, tutoring transcripts, and any other private interactions between a student and the AI tutor) is not, and shall not be, made available to the Teacher. The Teacher shall not attempt, whether directly or indirectly, to access, obtain, or reconstruct such data by any means.
4. DATA THE TEACHER WILL AND WILL NOT SEE
- 4.1. Subject to the access limitations referred to in clause 3.2(b), the Teacher Dashboard will display to the Teacher the following categories of data in respect of students in classes assigned to the Teacher:
- (a) homework submissions and the written answers submitted by students in response to such homework;
- (b) AI-generated marks, together with any overrides subsequently applied by the Teacher and published to the student;
- (c) topic-level mastery data for each student;
- (d) engagement trends over the preceding fourteen (14) day period, including the number of questions answered per day and the number of active days;
- (e) a usage-tier classification for each student (being "inactive", "low", "regular", or "highly active"); and
- (f) the time spent by each student on individual homework questions.
- 4.2. For the avoidance of doubt, the Teacher Dashboard will not, and the Teacher shall not be provided with any means to view, any conversational data or chat history between a student and the Company's AI tutor, as referred to in clause 3.4.
5. CONTENT AND INTELLECTUAL PROPERTY
- 5.1. As between the Teacher and the Company, the Teacher retains all intellectual property rights in (a) any content uploaded by the Teacher to the Platform (including papers, markschemes, and other teaching materials); and (b) any content created by the Teacher through the use of the Teacher Dashboard (including edits to questions, overrides to marks, and written feedback) (together, the "Teacher Content").
- 5.2. The Teacher grants to the Company a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, reproduce, adapt, and otherwise use the Teacher Content for the purposes of providing, operating, maintaining, improving, and developing the Platform and any related services. This licence shall continue for so long as is reasonably necessary for such purposes, notwithstanding termination of this Agreement.
- 5.3. The Teacher is solely responsible for ensuring that any Teacher Content uploaded or otherwise made available to the Platform does not infringe any third-party intellectual property rights (including, without limitation, the rights of examination boards in respect of papers and markschemes), and shall not upload any content which the Teacher does not have the right to upload.
- 5.4. For the avoidance of doubt, the Company's curriculum questions shall not be modified by any edit made by the Teacher. Any edits made by the Teacher to questions, marks, or feedback shall be saved separately to the Teacher's personal question bank and shall not affect the canonical curriculum content made available to other users of the Platform.
- 5.5. The Teacher acknowledges that all edits made by the Teacher (including edits to questions, marks, and feedback) are logged internally by the Company for quality monitoring, safeguarding, audit, and platform improvement purposes.
6. AI MARKING AND GRADING RESPONSIBILITIES
- 6.1. The Teacher acknowledges that marks generated by the Platform's AI are preliminary and are provided as a starting point only. The Teacher is solely responsible for reviewing, and where necessary correcting or overriding, any AI-generated mark before publishing grades to students.
- 6.2. Where the Teacher uses the "Apply all" feature to propagate a correction to all students in respect of a given question, the Platform shall require the Teacher's confirmation before the correction is applied. The Teacher shall satisfy themselves that the correction is appropriate for all affected students before confirming its application, and shall be solely responsible for the consequences of doing so.
- 6.3. Once grades are published by the Teacher, students will be able to view their marks, per-question breakdowns, marking criteria, and any teacher feedback. The Teacher shall ensure that all such content is appropriate, accurate to the best of the Teacher's professional judgement, and consistent with the academic integrity policies of the Teacher's educational institution before publishing.
- 6.4. The Company shall not be liable for the accuracy of any grade published by the Teacher, nor for any academic, disciplinary, or other consequence arising from the publication of any grade, marking commentary, or feedback by the Teacher through the Teacher Dashboard.
7. FREE ACCESS
- 7.1. Access to the Teacher Dashboard is currently provided to the Teacher free of charge. No fee or other consideration is payable by the Teacher in respect of such access.
- 7.2. The Company reserves the right to change, restrict, charge for, or withdraw free access to the Teacher Dashboard (whether in whole or in part, and whether in respect of an individual teacher or all teachers) at any time, by giving the Teacher reasonable notice. For the avoidance of doubt, no minimum period of access is guaranteed.
- 7.3. No service level agreement, uptime guarantee, or availability commitment applies to the Teacher Dashboard, and the Teacher Dashboard is provided on an "as available" basis.
- 7.4. Without prejudice to clause 2.3, the Company may suspend or terminate the Teacher's access to the Teacher Dashboard with immediate effect in the event of any breach by the Teacher of this Agreement, the Terms of Use, or the Privacy Policy.
8. DATA RETENTION
- 8.1. Copies of the Teacher's qualification certificates and supporting verification documentation shall be retained by the Company for the duration of the Teacher's account and shall be deleted on closure of the account, save where retention is required by applicable law.
- 8.2. Data generated through the Teacher's use of the Teacher Dashboard (including homework assignments, the Teacher's personal question bank, uploaded materials, and internal audit logs) shall be retained by the Company for a period of two (2) years from the date on which the Teacher last actively used the Teacher Dashboard, after which it shall be deleted or anonymised in accordance with the Company's data retention policies.
- 8.3. Grades published by the Teacher to students shall remain visible to the relevant students notwithstanding the closure or termination of the Teacher's account, in order to preserve the integrity of the students' academic records.
9. GOVERNING LAW AND JURISDICTION
- 9.1. This Agreement and any dispute or claim arising out of or in connection with it (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
- 9.2. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.
- 9.3. Any questions relating to this Agreement, or to the Teacher Dashboard generally, should be directed to the Company at schools@medlyai.com.
10. ACCEPTANCE
- 10.1. By accepting this Agreement at sign-up, the Teacher confirms that they:
- (a) have read and understood this Agreement in full;
- (b) have read the Company's Terms of Use (available at https://www.medlyai.com/uk/terms) and Privacy Policy (available at https://www.medlyai.com/uk/privacy); and
- (c) agree to be bound by the terms of this Agreement and by those Terms of Use and Privacy Policy.
- 10.2. The Teacher acknowledges that this Agreement is executed electronically and that the Teacher's electronic signature (including a typed full name together with a positively selected checkbox confirmation captured by the Company at sign-up) shall have the same legal effect as a manuscript signature.
